1. Acceptance of These Terms

By browsing this website, sending an enquiry, placing an order, or using any service offered by White Lilies (HK) Supply chain Limited and the developer WhiteLilies, you agree to be bound by these terms of service together with any supplemental terms we set out at the point of a given service.

If you do not agree with any part of these terms, please leave the site without using our services. Continued use of the site or of any order placed with us indicates your acceptance, and your agreement is effective from the first moment you use our pages.

2. Who These Terms Bind

These terms apply to you as a visitor and, where you act for a business, to the organisation you represent. When you place an order or enter an agreement as a professional customer, you confirm that you have authority to bind that organisation and that the details you provide are true and current.

The operator of the services described here is White Lilies (HK) Supply chain Limited, whose registered place of business is at Rm 703 7/F Winfield Commercial Building, 6-8A Prat Avenue, Tsim Sha Tsui, Hong Kong (HK). The website and systems are developed by the developer WhiteLilies. References to we, us and our in these terms mean the operator, acting with the developer where the context requires.

3. Nature of Our Services

White Lilies (HK) Supply chain Limited provides professional, scientific and technical services including computer integrated systems design and related services to the floristry and related sectors. Concretely, we operate a flower supply chain from our cold room offering farm direct sourcing, cold chain freight, bloom conditioning and grading, event and hotel programs, retail bundle packs and waste bloom recovery, as described in more detail on our services page.

Alongside these physical services we design and operate computing systems and integrated solutions for customers. These terms cover both the physical flower services and the computing and design services, and individual orders may come with their own written scope that sits beside these general terms.

4. Information on This Site

We work to keep the information on www.whitelilies.lol accurate, but variety availability, pricing, delivery windows and technical descriptions can change as seasons and markets move. Pages describing our services are indicative rather than a binding offer, unless a specific written quotation confirms otherwise.

Nothing on this site is a promise of a particular vase life, a guaranteed wholesale price or an assurance that a given variety will be present on a given day. Where honest experience tells us a variety cannot travel in the window you need, we will say so rather than overstate its condition.

5. Orders, Quotes and Pricing

A quotation you receive from us is an invitation to place an order and remains open for the validity period stated on it, or for thirty days if none is stated. Your order is accepted only when we confirm it in writing, at which point a contract exists between you and us on these terms.

All prices are quoted in the currency shown and, unless stated otherwise, are exclusive of applicable taxes, freight surcharges and duties, which may be added at the current rate. Prices may change between the date of a quote and the date of our written confirmation only where market movement makes this unavoidable, and we will always inform you before we proceed on changed terms.

6. Delivery and Cold Chain Timing

Delivery dates given in a confirmation represent our honest best estimate rather than a strict guarantee. We run a monitored cold chain and will not force a load through a warm window simply to meet a clock, because doing so would betray the quality you ordered.

Where a delay arises through our own fault, we will put it right by rescheduling, replacing the affected stems or offering a fair credit as the circumstances allow. Where a delay is caused by weather, cancelled freight or events beyond our reasonable control, the provisions on force majeure below apply.

7. Responsibility for Grading and Quality

Cut flowers are living goods and their condition changes hour by hour. We take care to condition, grade and pack every stem so that it leaves our cold room in the grade we sold. Once goods are handed to you or your carrier, however, the risk in their continued freshness passes to you, and the quality you enjoy depends on the care taken from that moment forward.

We grade stems on arrival and mark them with a letter reflecting their opening stage and expected vase life, as described on our homepage. This grading is a genuine assessment made by trained hands; it is not an ornament and it is not a promise that no natural variation will occur in a living product.

8. Customer Duties and Information

You agree to give us accurate and current information needed to fill your order, including a correct delivery address, a practical delivery window and any detail that could affect how a stem should be handled. Where you supply the wrong address or are unavailable at delivery, we will follow reasonable steps to redeliver, and any reasonable extra cost belongs to you.

Where cooling or refrigeration is part of your facility, you accept responsibility for keeping received goods at a sensible temperature after we hand them over. Conditions in our care do not follow the goods beyond the point of handover.

9. Acceptance of Goods

Please inspect goods promptly on delivery and record any concern you have about the grade, count or condition. Because cut flowers are perishable, an inspection window of one working day from delivery is reasonable, and you should raise any genuine concern within it so that we can inspect, replace or credit fairly.

Failure to inspect within that window does not remove your legal rights, but it does make an accurate claim harder, and we ask you to help us keep the record honest by reviewing your produce when it arrives.

10. Returns and Refund Policy for Goods

Perishable flower goods generally cannot be returned, so our returns policy is based on making the quality right rather than on shipping goods back and forth. If stems arrive below the grade we sold, we will inspect them and, where we are to blame, offer a replacement load, a credit against your next order, or a fair refund for the affected portion as we agree with you.

Claims made within the inspection window and supported by honest records are settled fairly and without argument. We will not shrink the value of live flowers that were handed over in good condition and then not cared for, because the risk in a living bloom passes to you at handover as set out above.

11. Intellectual Property

The design, layout, text, imagery, software and code of this website, and the systems we build for customers under an agreement, are the property of White Lilies (HK) Supply chain Limited, the developer WhiteLilies or their licensors, and are protected by the laws of Hong Kong and by applicable international agreements.

You may view and print pages for your own internal business use, but you may not copy, reproduce, distribute, mirror or build services on our content or code without our prior written consent. Where we deliver custom source to a customer under a written agreement, ownership and licensing of that source is set out in that agreement alone.

12. Acceptable Use of the Website

You may use this website for legitimate business and personal purposes only. You may not attempt to break into, disable, overload or interfere with our servers, scrape the site at scale, seek to obtain the data of other visitors, or use automated tools to harvest content without our written permission.

You may not post unlawful, deceptive or harmful material through any form or channel we operate, and you agree to keep any account or access you hold secure. We may suspend access, log evidence and report wrongdoing where a breach of this clause puts our systems or our other customers at risk.

13. Systems and Software as a Service

Where we provide computing integration, system design or software as a service, the specific features, service levels, fees and durations are set out in the order or agreement with you. These general terms do not contract you into any particular system, and no system service begins until you hold a signed order describing it.

For any hosted system we operate, we will apply reasonable security and availability standards, take regular backups where we have agreed to do so, and give you the access and reporting set out in your agreement. We will not read, share or repurpose the business data within your system except as needed to run the service or as you direct.

14. Data and Privacy

Our handling of your personal and business information is described in our privacy policy, which forms part of these terms. Where we process data for you as part of a hosted system, we act as a processor on your instructions, and your privacy policy applies to the data your users submit.

By sharing information with us you agree that we may use it to fulfil your order and administer our relationship, in line with the privacy policy you can reach from the footer of every page.

15. Limitations of Liability

Nothing in these terms excludes or limits liability that cannot lawfully be limited, including liability for fraud or for death or personal injury caused by negligence. Subject to that, our total liability to you arising out of or in connection with an order or the use of this site shall not exceed the amount you actually paid to us for the relevant goods or service that gave rise to the claim.

We will not be liable for any indirect or consequential loss, including loss of profits, loss of business, loss of goodwill, loss of expected sales or loss of data, arising out of a delay, a quality problem or the use of a service, even where we were advised of the possibility of such loss. The flower trade is uncertain, and we price our services on the understanding that our exposure is capped in this fair and simple way.

16. Disclaimers of Warranty

This website and our services are provided on an as is and as available basis. We do not warrant that the site will be uninterrupted, error free or free of harmful code, and we do not warrant the lasting vase life or specific appearance of a living flower, which depends on nature and on the care it receives after our handover.

We make no warranty about content on linked external sites, and any reliance you place on such sites is at your own risk. The only warranties that bind us in respect of physical goods are those that the law implies and those we state expressly in a written order.

17. Suspension and Termination

We may suspend or terminate access to any hosted service or this site, in whole or part, where you breach these terms, where a payment is overdue, where continued service would risk our systems or other customers, or where we are required by law to do so. We will give you reasonable notice where it is practical to do so without weakening security.

You may end a service agreement by giving written notice as its own terms require. On termination for any reason, provisions that by their nature should survive, including liability limits, disclaimers and the clauses on governing law, will continue to apply.

18. Third Party Links and Content

This site may carry links to websites or content we do not control, such as delivery or payment partners. We provide these links for your convenience only, and we take no responsibility for the content, reliability or privacy practices of external pages. Your use of such sites is governed by their own terms.

We do not endorse the content of any linked external site by virtue of linking to it, and you should apply your own judgement about the reliability of information you find elsewhere on the web.

19. Changes to These Terms

We may revise these terms from time to time to reflect changes in our services, the law or our business practice. When we do, we will update the date at the top of this page, and the revised terms will apply to any order placed or use made on or after the date the change is published.

For an existing order already confirmed on these terms, the terms in force at the time of that agreement will continue to govern it unless you and we agree otherwise in writing, so that a change never quietly rewrites a contract you already hold.

20. Governing Law and Jurisdiction

These terms and any order under them are governed by the laws of the Hong Kong Special Administrative Region. The parties submit any dispute arising from these terms or an order to the non-exclusive jurisdiction of the courts of Hong Kong.

Where we serve customers outside Hong Kong, we will still aim to resolve disagreements fairly and locally first, and we recognise that nothing here removes any mandatory consumer protection your own law gives you where it applies to our supply.

21. Severability

If any provision of these terms is held to be invalid, illegal or unenforceable, that provision will be treated as removed to the minimum extent required, and the remaining provisions of the terms will continue in full force and effect. A successful challenge to one clause will not unravel the rest of the agreement you rely on.

22. No Waiver

Our failure to enforce a provision of these terms on one occasion does not waive our right to enforce it on any other occasion, and no waiver of any provision is effective unless it is made in writing and signed by the party to be bound. Forbearance in a single instance is not silence on the whole.

23. Entire Agreement

These terms, the privacy policy, and any written quote or order confirmation you hold with us set out the whole agreement between us in relation to their subject matter, and they replace any earlier understanding or representation made by email, phone or conversation.

Any changes to the written terms of a contract must be agreed in writing to be binding, so that no one can be caught by a stray verbal promise made across a busy counter.

24. Force Majeure

Neither party will be liable for delay or failure to perform its obligations under these terms where the cause is beyond its reasonable control, including severe weather, blocked roads or runways, freight embargoes, strikes, power failures, breakdowns of natural or plant life, or governmental restrictions.

Where an event of force majeure affects delivery, we will keep you informed and will reschedule reasonably. If the event continues for a prolonged period, either party may end the affected order without penalty, with a fair account for work already done.

25. Notices

Any notice under these terms should be given in writing to White Lilies (HK) Supply chain Limited at Rm 703 7/F Winfield Commercial Building, 6-8A Prat Avenue, Tsim Sha Tsui, Hong Kong (HK) or by email to relay@whitelilies.lol. Notices sent by email are treated as received on the day they are sent during normal business hours.

We may send notices and service messages to the email you last provided to us, and you agree to keep that address current and to read messages that you reasonably understand to relate to your order.
